These Terms and Conditions (“Terms”) govern your access to and use of our website, platforms, advertising systems, AI systems, sales support services, and any related products or services (collectively, the “Services”).
By accessing or using our website or Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must discontinue use immediately.

We do not provide medical services, legal advice, or financial advice.
We do not guarantee specific business outcomes, revenue levels, patient volume, or growth results. Performance depends on numerous factors beyond our control, including market conditions, competition, regulatory constraints, and client participation.
3. Healthcare Clients and HIPAA
When providing services to healthcare providers, LEADIFY may act as a “Business Associate” under the Health Insurance Portability and Accountability Act of 1996 (“HIPAA”).
In such cases:
Our handling of Protected Health Information (“PHI”) is governed by a separate Business Associate Agreement (“BAA”).
We implement administrative, technical, and physical safeguards designed to protect PHI.
Clients remain the “Covered Entity” responsible for patient care decisions and compliance with healthcare regulations.
Nothing in these Terms replaces or modifies the obligations contained in a signed BAA.
4. Client Engagement and Scope of Work
If you engage LEADIFY for Services:
Scope, deliverables, pricing, and timelines will be defined in a separate written agreement, proposal, or order form.
You agree to provide accurate, complete, and timely information necessary for performance.
Delays caused by client inaction, inaccurate data, or failure to cooperate may impact performance and do not constitute breach by LEADIFY.
We reserve the right to suspend or terminate Services if contractual obligations or payments are not satisfied.
5. Payments and Fees
Unless otherwise stated in writing:
Fees are due in advance of service delivery.
Payments are non-refundable.
Recurring services may automatically renew as specified in your agreement.
You authorize us to charge your designated payment method for all agreed fees and agree to provide accurate billing information.
Failure to make timely payment may result in suspension or termination of Services.
6. Intellectual Property
All website content, materials, software, designs, branding, graphics, and systems are owned by LEADIFY or licensed to us and are protected by intellectual property laws.
Client-Specific Materials:
Upon full payment, clients receive a limited license to use deliverables created specifically for them, unless otherwise agreed in writing.
LEADIFY retains ownership of proprietary systems, frameworks, AI models, scripts, and methodologies.
You may not copy, distribute, reverse engineer, or exploit our proprietary systems without express written permission.
7. Confidentiality
Both parties agree to maintain confidentiality of non-public business, operational, financial, or technical information disclosed during engagement.
This obligation survives termination of Services.
For healthcare clients, confidentiality obligations may also be governed by applicable HIPAA agreements.
8. Disclaimers
The website and Services are provided on an “as is” and “as available” basis.
To the fullest extent permitted by law, we disclaim all warranties, express or implied, including:
Merchantability
Fitness for a particular purpose
Non-infringement
Uninterrupted or error-free operation
We do not warrant that advertising platforms, AI systems, or third-party tools will operate without interruption or policy changes.
9. Limitation of Liability
To the maximum extent permitted by law:
LEADIFY shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, revenue, goodwill, or data.
Our total aggregate liability for any claim shall not exceed the amount paid by you to us in the three (3) months preceding the event giving rise to the claim.
Some states do not allow certain limitations, so portions of this section may not apply where prohibited by law.
10. Indemnification
You agree to indemnify and hold harmless LEADIFY, its owners, employees, contractors, and affiliates from and against any claims, liabilities, damages, losses, or expenses arising from:
Your misuse of the Services
Your violation of applicable laws or regulations
Your violation of third-party rights
Content, representations, or claims you make in connection with your business
Healthcare clients remain solely responsible for medical decisions, patient care, regulatory compliance, and representations made to patients.
11. Third-Party Platforms
Our Services may rely on third-party tools, advertising platforms, CRMs, hosting providers, AI systems, or payment processors.
We do not control and are not responsible for:
Platform outages
Policy changes
Account suspensions
Third-party data handling
Use of third-party services is subject to their respective terms and policies.
12. Termination
We may suspend or terminate access to the website or Services:
For violation of these Terms
For non-payment
For unlawful or unethical conduct
To comply with legal obligations
Upon termination, all provisions that by their nature should survive shall remain in effect, including limitation of liability and indemnification.
13. Force Majeure
We are not liable for delays or failure to perform due to causes beyond our reasonable control, including natural disasters, cyberattacks, government actions, labor disputes, or platform outages.
14. Governing Law and Jurisdiction
These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles.
Any dispute arising out of or relating to these Terms shall be resolved exclusively in the state or federal courts located in New York, and you consent to the jurisdiction of such courts.
